Terms of Service

By accessing or using the services provided by NSZ Digital Lab Pte. Ltd. ("NSZ Digital Lab," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

These Terms apply to all visitors, users, and others who access or use our services, including but not limited to NSZ Core, NSZ POS, NSZ Pay, NSZ Vault, NSZ eFarm Gateway, NSZ Clip, and NSZ Boost.

NSZ Digital Lab provides a suite of digital business solutions including enterprise resource planning, point-of-sale systems, payment processing, digital asset management, agricultural technology, media management, and marketing automation tools.

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of services.

To access certain features of our services, you may be required to register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

You must be at least 18 years old or the age of majority in your jurisdiction to create an account and use our services.

4.1 Subscription Plans

Our services are offered on a subscription basis. By subscribing, you agree to pay the applicable fees for your chosen plan. Subscription fees are billed in advance on a monthly or annual basis.

4.2 Payment Terms

• All fees are exclusive of applicable taxes unless stated otherwise
• Payment is due upon subscription and at each renewal period
• We accept major credit cards and other payment methods as specified
• Failed payments may result in suspension of services

4.3 Refunds

Subscription fees are generally non-refundable. However, we may provide refunds at our discretion in certain circumstances. Please contact our support team for refund requests.

You agree not to use our services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit any malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity of our services
• Engage in any fraudulent, deceptive, or misleading activities
• Collect or harvest user data without consent
• Use automated systems to access our services without permission
• Resell or redistribute our services without authorization

6.1 Our Intellectual Property

Our services, including all content, features, and functionality, are owned by NSZ Digital Lab and are protected by international copyright, trademark, patent, and other intellectual property laws.

6.2 Your Content

You retain ownership of any content you submit, post, or display through our services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content solely for the purpose of providing our services.

6.3 Feedback

Any feedback, suggestions, or ideas you provide regarding our services may be used by us without any obligation to you.

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

You are responsible for maintaining the confidentiality of any data you process through our services and ensuring compliance with applicable data protection laws.

For enterprise customers, we offer Service Level Agreements (SLAs) that define uptime guarantees, support response times, and remedies for service disruptions. SLA terms are specified in your enterprise agreement.

For standard subscriptions, we target 99.9% uptime but do not guarantee specific service levels.

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, error-free, or completely secure. You use our services at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NSZ DIGITAL LAB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

Our total liability for any claims arising from or related to these Terms or our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless NSZ Digital Lab and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit through our services

We may terminate or suspend your account and access to our services immediately, without prior notice, for any reason, including if you breach these Terms.

You may terminate your account at any time by contacting us. Upon termination, your right to use our services will immediately cease.

Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

Any disputes arising from these Terms or our services shall be resolved through binding arbitration in Singapore, in accordance with the rules of the Singapore International Arbitration Centre (SIAC).

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date.

Your continued use of our services after any changes constitutes your acceptance of the new Terms.

• Entire Agreement: These Terms constitute the entire agreement between you and NSZ Digital Lab regarding our services.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision shall not constitute a waiver.
• Assignment: You may not assign these Terms without our prior written consent.
